Terms of Service

SBDC.AI is a purpose-built copilot for SBDC advising. These Terms of Service govern your access to and use of the SBDC.AI platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your authorized subscription period. This license does not include any right to: (a) Copy, modify, or create derivative works of the Service (b) Reverse engineer, decompile, or disassemble any part of the Service (c) Sublicense, resell, lease, or otherwise transfer access to the Service (d) Use the Service to build a competing product or service

All intellectual property rights in and to the Service — including source code, system architectures, workflow definitions, curated data assets, integration designs, training content, and documentation — are reserved. No rights are transferred to any user, organization, or network through use of the Service.

The Service processes user input in accordance with 13 CFR Part 130 (SBDC program regulations) and 2 CFR Part 200 (Uniform Guidance). Client personally identifiable information (PII) is automatically detected and masked before reaching AI models. The Service does not store, log, or use client PII for model training.

The Service includes compliance features designed for use within Small Business Development Center (SBDC) advising environments. These features do not constitute legal advice and do not guarantee regulatory compliance. Users are responsible for verifying that their use of the Service meets applicable regulatory requirements.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL THE SERVICE OR ITS OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Access to the Service may be suspended or terminated at any time, with or without cause, with or without notice.

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the State of California.
