SBDC.AI is a workspace for small business advisors. You keep ownership of what you and your clients bring in. AI output is a draft for your professional review — not legal, financial, or tax advice. Don't misuse the service, and we'll both follow the rules below.

01Who we are and what these terms cover

These Terms of Service ("Terms") govern your access to and use of SBDC.AI — the applications, websites, and related services (the "Service") operated by SBDC.AI ("we," "us"). By creating an account or using the Service, you agree to these Terms on your own behalf or on behalf of the organization you represent.

If you use the Service through a small business development center, network, or similar host organization, additional agreements between us and that organization may also apply to your use.

02Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for your account credentials and for all activity under your account. Notify us promptly at security@sbdc.ai if you suspect unauthorized access.

Access provisioned through a center account may be modified or revoked by that center’s administrators.

03The Service is a professional tool, not advice

SBDC.AI generates drafts, research summaries, translations, briefs, and session records to support professional business advising. Output may be inaccurate, incomplete, or outdated, and does not constitute legal, financial, tax, accounting, or investment advice.

You are responsible for reviewing all output before relying on it or sharing it with a client, lender, or agency. The Service is designed to keep an advisor in the loop; do not remove that review step.

04Your content and your clients’ information

You retain all rights to the content you submit — session audio, notes, documents, client records, and prompts ("Your Content"). You grant us a limited license to process Your Content solely to provide, secure, and improve the Service as described in our Privacy Policy.

You represent that you have the necessary consents to submit information about your clients, including consent for recording and transcription where required by applicable law. Recording consent requirements vary by state; it is your responsibility to comply.

05AI output and ownership

To the extent permitted by law, and as between you and us, you own the output the Service generates in response to Your Content. Because AI output may be similar across users, we cannot guarantee exclusivity of output.

You may use output for your professional advising work, subject to these Terms and any third-party rights it may contain.

06Acceptable use

Do not use the Service to violate the law or others’ rights; to develop competing models from our output at scale; to probe, scan, or breach our systems; to misrepresent AI output as an official government communication; or to process information you have no right to process.

We may suspend or terminate accounts that present risk to the Service, other users, or the public.

07Third-party services and data sources

The Service interoperates with third-party tools and data sources (for example: video conferencing, CRM systems such as Neoserra, public datasets, and model providers). Your use of those services is governed by their own terms, and we are not responsible for their availability or accuracy.

08Fees and trials

Parts of the Service may be offered free, on trial, or under a paid plan. Prices, features, and limits may change with notice. Taxes are your responsibility where applicable. Fees paid through a center or network agreement are governed by that agreement.

09Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10Termination, changes, and governing law

You may stop using the Service at any time; you can export Your Content before closing your account. We may modify or discontinue the Service, or update these Terms, with reasonable notice of material changes — continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in California, and each party consents to their jurisdiction.
